Terms of Service

These terms apply to every CIRRIUSbusiness.com service: web hosting, domain registration, and the professional services we deliver under a written quote.

If you have accepted a written quote from us, that quote controls the scope, schedule, and price of the work it describes. These terms cover everything else. See section 3.

General Terms

1. Purpose

These Terms of Service (“TOS”) represent the basis of a contract between you, or the entity on whose behalf you are executing this agreement (“you” or “your”), and CIRRIUSbusiness.com, INC. (“CIRRIUSbusiness.com Hosting”, “we”, “us”, or “our”). By corresponding with us, browsing our web properties, or using our Services, you accept these TOS and agree to abide by the then-current version of: these TOS, our Acceptable Use Policy, our Support Policy, our Refund & Billing Policy, our Privacy Policy, our Server Maintenance Policy, and our DMCA Policy. These Policies may be modified from time to time, and by continuing to use our Services, you agree to be bound by the modifications. The most recent version of these TOS can always be found here.

When you accept a written quote from us, the version of these TOS in effect on the date you accept it applies to the work in that quote. Later changes to these TOS apply to that work only if you agree to them in writing. Earlier versions of these TOS are available on request.

2. Customers

While we facilitate your business on the Internet, we are an independent contractor. We only have control of the products and services we provide directly and are not liable for your actions, the actions of third-party service providers, or the actions of individuals who use your instance of such products and services (“End Users”).

3. Quotes and Order of Precedence

Professional services, such as website work, migrations, integrations, and automation, are defined in a written quote. A quote describes the scope, deliverables, assumptions, timeline, and price for that work.

If a quote and these TOS conflict, the quote controls scope, schedule, and price, and these TOS control everything else. A quote may also state that a specific section of these TOS does not apply to the work it describes.

The person who accepts a quote is your authorized approver for that work unless you tell us otherwise in writing. Any change affecting scope, schedule, or price is confirmed in writing with your authorized approver before additional work begins. Email is sufficient.

4. Payment, Renewals, and Taxes

  • Invoices are due by the due date shown on the invoice. Unless a quote states otherwise, project invoices are due within 15 days of the invoice date.
  • Recurring Services, including hosting and domain registrations, renew automatically for the same term at the then-current rate unless cancelled before the renewal date.
  • If an invoice remains unpaid after its due date, we may pause project work and, after notice to you, suspend the affected Services until the balance is paid.
  • Prices exclude any applicable taxes, which are your responsibility.
  • Refunds for recurring Services follow our Refund & Billing Policy. Refunds for project work follow section 9.

5. Confidentiality

Each of us will keep the other’s non-public business information confidential and use it only to provide or receive the Services. For you, that includes your customer data, account access, and business records. For us, that includes our methods, templates, and pricing. This does not apply to information that is already public, already known to the receiving party, independently developed, or required to be disclosed by law.

6. Ownership

You own your content, data, and accounts. On final payment for a project, you own the deliverables we create specifically for you under that quote, such as website files, configurations in your accounts, and documents prepared for you. We keep ownership of our pre-existing tools, templates, methods, and know-how; where any of them are part of your deliverables, you may continue to use them as part of those deliverables. Third-party software, plugins, themes, and platforms remain subject to their own licenses and terms.

7. Service Disclaimer

Except as stated in these TOS or in a quote, the Services are provided “as is” and “as available.” We do not guarantee that any Service will be uninterrupted or error-free, or that it will produce a particular business result, such as a number of leads, a search ranking, or a level of revenue. Nothing in these TOS limits any right that cannot be limited under applicable law.

8. Limitation of Liability

To the fullest extent permitted by law, our total liability arising out of or relating to any Service will not exceed the fees you paid for that Service. For project work, that means the fees paid under the applicable quote. For recurring Services, it means the fees paid for that Service in the 12 months before the event giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages, including lost profits, lost revenue, or lost business opportunities.

9. Ending Services

Projects. Either party may end a project by written notice. You will pay for work completed through the cancellation date. Completed items are valued at their line-item prices in the applicable quote, and items in progress in proportion to the work performed. Amounts already paid are applied to that work and are non-refundable only to the extent earned; any unearned prepaid balance will be refunded within 15 days. We will provide completed and in-progress materials once the amounts due for that work are paid.

Recurring Services. You may cancel a recurring Service at any time before its renewal date. The Service remains active through the end of the paid term.

Suspension. We may suspend or end a Service that is used in violation of these TOS or our Acceptable Use Policy, or as described in section 4 for unpaid invoices.

10. Events Outside Our Control

We are not responsible for delays or failures caused by events outside our reasonable control, including outages or changes at third-party providers, internet or utility failures, natural disasters, and government action. We will let you know promptly and resume the affected work or Service as soon as reasonably possible.

11. Notices and Governing Law

We may send notices to the email address on your account. You can send notices to us at [email protected]. These TOS are governed by the laws of the State of Michigan.

Professional Services

These sections apply to project work delivered under a written quote.

12. Pricing Assumptions and Additional Work

Each quote is based on the assumptions it states. If we find something during the work that falls outside those assumptions, such as an incompatible plugin, malware or unrecognized code, or a feature that must be rebuilt, we will pause the affected work, explain what we found, and provide a separate estimate. Added work proceeds only after you approve the revised scope and price in writing.

13. Your Responsibilities

  • Provide the access, content, information, and approvals the quote lists, in time for the work to proceed. The timeline in a quote begins when the required payment, content, and access are available, and it pauses while we are waiting on items from you.
  • Make sure you have the rights to the content and materials you provide.
  • Decide what your website and systems say and offer, and approve content before it goes live.

14. Revisions

Unless a quote states otherwise, a revision round is one consolidated list of changes to items already within the approved scope, provided within five business days of our delivery. New items or changes to the scope are estimated separately.

15. 30-Day Post-Launch Corrections

For 30 days after launch, we will correct at no additional charge any issue directly caused by our work under a quote, such as a broken link, a form that does not submit, or an incorrect setting. This period does not cover issues caused by later software or plugin updates, third-party changes, or content decisions you approved.

16. Third-Party Platforms

Many projects involve third-party platforms, such as CRMs, phone systems, payment processors, and website software. Your subscriptions to those platforms are between you and each provider, and their terms apply. We configure and connect them as described in a quote, but we do not control their features, pricing, availability, or changes. Work needed because a provider changes its product is estimated separately.

Hosting and Domain Services

17. Services

CIRRIUSbusiness.com provides a number of services and products to its customers, collectively referred to as the “Services.” Regardless of whether you pay for a Service or receive it as part of a package, any Service you request or allow to be provided by CIRRIUSbusiness.com is included as part of the “Services” in these TOS and other Policies. All Services are subject to each of our Policies. Certain Services may also be provided by third parties, and their terms of service or use may apply. We may change the specifications or details of the Services at any time, and third-party providers may also modify their offerings. We will use commercially reasonable efforts to inform you of changes.

c. Terms Specific to Domain Name Services

We resell domain names. When you apply to register a domain, your request is transmitted to eNom (www.eNom.com). By using our Domain Name Services, you agree to be bound by eNom’s policies:

It is your responsibility to ensure your domain name does not lapse. We are not responsible for any lapses or damages caused by expiration. We will attempt to renew domain names that are set to auto-renew, but ultimate responsibility remains with you.

d. Terms That Apply to All Hosting Services

  • Hosting accounts have allocated bandwidth based on the package selected. Unused bandwidth does not roll over.
  • Hosting accounts include primary IP addresses; additional IPs may be purchased.
  • Excessive use of CPUs, servers, or other resources may result in service restrictions.

e. Terms Specific to Each Hosting Type

  • Unmanaged Hosting Services: Customers are responsible for firewalls, security, and maintenance.
  • Managed & Unmanaged Hosting with Root Access: Customers are responsible for any changes made using root access.
  • Cloud VPS Hosting: Billed by usage with an itemized breakdown on invoices.
  • VPS Hosting: Limited to 2 million inodes.
  • Shared Web Hosting: Limited to 600,000 inodes and 35 concurrent HTTP connections.
  • Reseller Hosting: Limited to 600,000 inodes per account.
  • Email Hosting: Emails in the trash or spam folder are deleted after 30 days.
  • Backups: Shared, Reseller, Managed, and Core Managed Hosting backups older than 30 days may be removed.

18. Resellers

Resellers agree to be bound by these TOS and Policies. Any additional or conflicting terms imposed by a reseller are disclaimed and could result in account cancellation.

19. Access

You will not have physical access to the servers on which your data is stored. These servers are often shared with third parties.

Messaging

20. SMS Terms of Service

By opting into SMS from a web form or other medium, you are agreeing to receive SMS messages from CIRRIUSbusiness.com. This includes SMS messages for Appointment Reminders, Service Updates, Billing Confirmations, Support Ticket Updates, System Notifications.
